Merger & Acquisition (M&A) Manager
M&A Manager - Renewable Energy
Location: Melbourne, Australia
Region Coverage: Australia, with occasional involvement in New Zealand and APAC
About the Role
A global renewable energy company is seeking a strategic and highly analytical M&A Manager to lead investment activities across its growing portfolio in Australia. This position will focus on transactions involving utility‑scale wind, solar, and battery energy storage systems (BESS)-primarily at late‑stage development, RTB, and COD milestones.
The successful candidate will play a central role in evaluating opportunities, structuring transactions, shaping revenue strategies, and coordinating cross‑functional teams to bring deals to completion.
Key Responsibilities
- Oversee the full lifecycle of M&A transactions, including market scanning, due diligence, valuation, deal structuring, and negotiation through to completion.
- Build and refine advanced financial models (e.g., IRR, LCOE, DCF, cash flow waterfalls) to analyse project returns across merchant, contracted, and hybrid revenue stacks.
- Support and help drive PPA‑related commercial strategy, engaging with potential off‑takers, reviewing term sheets, and coordinating with legal and commercial teams to secure bankable agreements.
- Collaborate closely with development, engineering, and delivery (EPC) teams to validate technical inputs, capex/opex assumptions, and construction schedules feeding into investment decisions.
- Prepare investor‑grade documentation, liaise with financial institutions and advisors, and manage responses to lender or investor due‑diligence enquiries.
- Manage external advisors and stakeholders, including consultants, legal counsel, tax specialists, and brokers, ensuring alignment and timely progression of transactions.
- Track market trends, regulatory developments, and policy changes within the Australian energy sector to inform acquisition and exit strategies.
- Provide intermittent M&A support for projects in New Zealand and select APAC markets, depending on business needs.
Candidate Profile & Requirements
- Degree in Finance, Engineering, Economics, Business, or similar; postgraduate qualifications (MBA, CFA) are advantageous.
- 5-8 years' experience in renewable energy M&A, investment banking, funds management, or project finance, ideally with exposure to Australian wind/solar/BESS transactions.
- Demonstrated experience in selling or acquiring RTB/COD-stage assets, with established relationships across reputable buyers, investors, or developers.
- Strong understanding of PPA structures, including hybrid and battery‑tolling frameworks.
- Proficiency in financial modelling, including stochastic cases (P50/P90) and familiarity with merchant price forecasting and storage revenue optimisation.
- Exceptional stakeholder engagement skills, with the ability to operate autonomously in a fast‑paced, deal‑driven environment.
- Willingness to travel within Australia and occasionally within the APAC region.
